Visionary Creative: Us, Visionary Creative.

The Proposal: Document outlining costs, deliverables, scope, and timescale.

The Project: Agreed body of work.

Timescale: Schedule specifying completion dates and sign-off requirements.

Sign-off: Confirmation of approval for work-to-date.

Materials: Produced work.

Delivery: Completion of project objective.

Duration: Until final invoice payment.

Proposals:

Costs may vary based on production expenses.
Client-requested work will be charged.
Third-party referrals are not Visionary Creative's liability.

What Do Both Parties Agree To?

Client to provide necessary project elements.
Client to review work, adhere to deadlines, and adhere to payment schedule.
Visionary Creative to perform services professionally, adhere to deadlines, and allow revisions.

Copy & Content:

Client supplies project content.
Client-owned content responsibility lies with the client.
Client may be asked for ownership evidence.

Proofs:

Client approval required for work accuracy.
Client alterations may incur extra charges.

Website Development & Testing:

Websites developed for compatibility but not guaranteed across all platforms.
Visionary Creative not liable for inaccuracies or omissions.

Suspended Work:

Client-initiated work suspension may incur costs.

Materials Supplied By The Client:

Unsuitable materials may be rejected.
Defective work responsibility lies with the client.

Personnel And Sub-Contractors:

Visionary Creative may sub-contract obligations.

Post Project & Deliverables:

Payment due upon delivery.
Additional charges for delivery outside the UK.

Visionary Creative owns copyright unless otherwise agreed.
Client may not modify Visionary Creative's materials without consent.
Client ensures ownership or permissions for supplied elements.

Marketing:

Visionary Creative may use client names and logos for marketing.

Variations In Quantity:

Quantity variations may occur within margins.

Claims:

Claims must be made within specific timeframes.

Liability:

Visionary Creative not liable for third-party delays.
Interest on overdue fees may apply.

Payments:

All accounts payable within 28 days.
Additional charges for extra services.
Backup restoration may incur charges.

Domain Names:

Client owns associated domain names.
Domain management fees may apply.

Hosting:

Client responsible for access equipment.
Visionary Creative not liable for system interruptions.
Hosting fees payable per year in advance.
Visionary Creative not liable for website errors.

Client Content:

Visionary Creative not responsible for accuracy or functionality.
Client indemnifies Visionary Creative for content liabilities.

Ending Our Agreement:

Termination conditions outlined.
Visionary Creative may suspend services for overdue accounts.
Hosting may be withheld for security concerns.

Conflict:

These Terms prevail in case of conflict.

Alternative Dispute Resolution Procedure:

Disputes resolved through mediation or ADR.

General:

Visionary Creative has a general lien on unpaid debts.
Force Majeure clause outlined.
Governed by English law.
Compliance with UK legislation required.

Warranties:

Parties warrant authority and ability to perform obligations.
Visionary Creative warrants service quality and IP rights adherence.
Client warrants content non-infringement and communication responsibility.
